By virtue of the Vote, with no members abstaining, these ByLaws are ratified by Unanimous Consent this Second Day of March, 2021.

Whereas, it is incumbent upon all well regulated Societies to conduct themselves according to a Code of Ethics, Procedure, and Action; the following By-Laws are herein enacted:

Article I

The Legislative Power of the Society for Liberty and Prosperity shall be vested into a single Executive Committee with shall consist of Delegates chosen from all chapters, and the inclusion of the Members in the process of Organizing Chapters and the Members awaiting Chapters.

The Executive Council shall have the power to confirm additional chapters as they are created subject to the approval of the President.

Each Chapter shall carry the voting powers of their respective chapter, except whereby the Chapter Code specifies otherwise.

In the event there is a Single Chapter with numbers which exceed more than five (5) times the average chapter population, the Executive Council may, after notice and hearing, and subject to the approval of the President or Founder, order such chapter to calculate their membership to requisite their voting powers to be within ten (10%) percent of the average chapter population. 

Every Four (4) Years, one (1) year after the United States Presidential Election, the Executive Committee shall gather, physically, electronically, or otherwise, for the purpose of electing a President.

Each year, the President of each chapter shall transmit to the Executive Committee, their tithe, and a membership list containing the names of all members in order to keep the census up to date. Such a census shall also include the address, telephone number, and e-mail of the President and all Delegates.

The Executive Council shall have the power to override the President's veto by achieving a two thirds (2/3) vote.

Amendments to this document, in whole, or in part, may be made only upon motion to the Executive Council, the achievement of 2/3 vote, and the consent of the President.  In the case of a veto, the vote to amend must be made by consesus of the Executive Council

Article II

The Administrative Powers of the Society for Liberty and Prosperity shall be vested in the President, or until one is elected the Founder, who shall preside at all called and regular meetings, physical, electronic, or otherwise, of the Executive Committee, to hear disputes, redress grievances, preserve order, and judge debates.

No member can become President until they prove their good service for a period of no less than two (2) years.

The President shall have the power to veto the Executive Council by objection.

The President shall be responsible for authorizing and implementing legislation of the Executive Council, overseeing elections, except where he is a party thereto, oversight of all operational and financial affairs, and the appointment of Judges, Treasurer, and Secretary.

Article III

The membership shall be open to all comers who demonstrate their want of liberty and prosperity, are native born, or naturalized citizens of the United States, and residents within the United States, or any territory thereof. Members of the Military who are stationed overseas shall, for the purposes of this paragraph, be residents of their normal stateside leave location or home.

Upon application for membership, there shall be a cursory investigation into the applicant's background for the purposes of obtaining their citizenship and residency status. The filing of the application shall serve as the evidence of their want for liberty and prosperity.

Upon approval, the new member shall be assigned to their local chapter, or, if one is not available, may be invited to organize a local chapter. During the process of organization, or the awaiting of a new chapter, the Member shall be a member of the Executive Committee until they can be assigned to their local chapter.

New Chapters may be created at any time from existing chapters according to the Chapter Code in effect at that time. The purposes of a new chapter created under this statute shall be, excessive growth, convenience of the members, and the ability to undertake. Any Chapter which creates additional chapters shall become a Regional Chapter for the purpose of this section.

Article IV

Any Officer, Delegate, Member, Chairman, or President may be impeached for cause.

Upon written complaint and evidence of wrong doing, the Executive Council shall gather, with the exception of any accused, to elect a judge, examine the evidence, hear testimony, and judge the defense of the accused. Upon two thirds (2/3) vote, the accused shall stand convicted, and removed from any office of trust. Upon the consensus, the membership of the convicted shall be revoked.

The accused shall enjoy the right of defense, and face his accusers. The accused may represent himself, hire an attorney, or request representation from the membership. In the case the accused seeks representation, the Executive Council shall investigate the credentials of such representative and approve or deny the representative for cause.

The accused shall also enjoy the right of innocence.  There shall be no conviction should any doubt remain. 

Article V

As the Mission of the Society for Liberty and Prosperity is time consuming and expensive financially, there shall be no project undertaken without the proper funding. The Meetings of the Society may be called by any member and shall be paid for by the receipt of annual dues. The President of each chapter, or the code thereof, shall dictate the location and manner of their meetings.

For the National Committee, shall be assessed Chapter Dues which shall be calculated according to the Membership. Each Chapter shall dictate the amount of their own annual dues, but shall not exceed $25 per member per annum. The Chapter Dues shall be 10% of dues paid.

Affiliate Chapters shall tender a minimum of $25 in dues and donations annually, and may send a Delegate to the Meeting of the Executive Council. The method of representation shall be the same as in Chapters of the Society

Each Chapter shall retain the remainder for their projects, and administrative costs which shall not exceed 10% of all dues and donations. If Officers are to be paid, the total payroll of such officers may not exceed 10% of administrative costs except by Waiver by the Executive Committee, and the President. Such dues shall be collected annually, upon the Meeting of the Executive Council.

Article VI

Chapters may be created by Members in Good Standing, and upon invitation of the President or Founder. Affiliate Chapters may also be confirmed by the Executive Council. Affiliate Chapters may adopt, for the purposes of becoming a Chapter, the Charter of the Society, and may amend their name to reflect their status as a Chapter of the Society for Liberty and Prosperity.

To facilitate the work of Liberty, other Liberty Groups may be sought, and affiliated with the Society to accomplish the work of the Society and such other Groups.

Projects solicited from such other Affiliates shall be fully funded by such, except by agreement and consent of the Executive Council and President.

 

Article VII

There shall be established Accounts of the Society.  The General Fund shall consist of all Dues and Donations made to the Society by Citizens, Native and Naturalized, of the United States of America, as well as the Dues and Donations of Members, Affiliates and Chapters.  Such General Fund shall be used to fund the Society's Administrative, Educational, Public Awareness, Free Speech, and Other Projects.  The General Fund shall not be used to fund any Political Campaign, nor shall it fund any Political Candidate, nor be used for Lobbying, nor other Political Purposes.

At the Annual Meeting of the Executive Council, a sum equal to 10% of all dues and donations collected over the previous year, except where otherwise budgeted or unavailable, shall be deposited into a Segregated Political Action Fund. Donations to this fund are not tax deductable.  All donations earmarked for this fund shall be deposited into it's accounts.  There shall be appointed, a Political Action Committee to oversee the dispensing of these funds, ensure the legality of donations, and assist endorsed candidates and causes.

The Political Action Fund shall be the sole property of the Political Action Committee, and all donations to this fund transmitted to the Chapters shall be immediately tendered to the Political Action Committee upon reciept.

The Accounts and Books shall be made available for inspection to the Membership upon demand, however, outside entities shall not be allowed to view this proprietary information without due cause, warrant, or legal authority.

The Political Action Committee shall consist of the President, Treasurer, and any other Members appointed thereto.

 

ARTICLE VIII

Dues and Donations shall be received by the Society for Liberty and Prosperity via cash, check or money order or draft in person.

Dues and Donations shall be received by credit card or other electronic means via our website link through our processor.

Dues and Donations may be paid together or separately according to the following:

  • All donations over $25 shall have a 1-year membership included.
  • All donations under $25 shall be a simple donation.
  • All dues owing and paid shall be tendered from the Annual Meeting in June through December.
  • A Scholarship Program is available for low income members who contribute labor to the Society.

The Political Action Committee shall consist of the President, Secretary, Treasurer and 2 additional members to oversee the Political Action Fund formed under Sec. 501(c)(4).

Dues paid shall be tax deductible except 10% which is tendered to the Political Action Fund.
